48-hr Sci-Tech Film Challenge

RULES AND REGULATIONS

The 48 Hour Sci-Tech Film Challenge (“Challenge”) is presented by The Atlanta Sci-fi Film Festival ("ASCIFFF"), and produced by The Multicultural Sci-fi Organization (“Organizer”), who is arranging, organizing and producing the Film Challenge; and together with the ASCIFFF are creating competition guidelines and providing a screening opportunity for some of the completed entries.  All films, irrespective of the mode of submission, completion or acceptance, developed in conjunction with the Challenge using the OVHcloud Materials, hereafter referred to as (“Promotional Film”).  

In order to compete and register in this Film Challenge, the Team Leader, referred to as ("Contestant") must acknowledge and agree to be bound by the following rules, regulations, terms and conditions.  Contestants accepting a “click wrap” style agreement, such as the check box on FilmFreeway, satisfies the following rules, regulations, terms and conditions and shall qualify as written acceptance of the applicable legal terms and conditions.  All competitors, together with any and all other members of the public involved and in connection with creating a short Promotional Film for the Film Challenge, all such persons being referred to as ("Participants") must agree to the following rules, terms and conditions of this competition.  

For each competition we’ll be working with a technology company to allow Contestants an opportunity to creatively integrate the tech company’s trademark, logo, product or service in a manner that is favorable to the company and its brand as a required element.  The required element will be supplied at the start of the competition and can be in the form of a line of dialogue or a prop - something that can be seen, such as a trademark, logo or an image or video footage of their product or service. The technology company for the Film Challenge is OVHcloud, hereafter referred to as ("OVHcloud").

FILMMAKING RULES - All completed Promotional Films must be no longer than five (5) minutes and no shorter than three (3) minutes, including titles and credits.  Maximum run time for the Promotional Film must not exceed five minutes.  Your Promotional Film must contain the supplied TITLE CARD.  Films should be submitted as:  H264, MP4 or .MOV, in 1080P and in a standard film ratio (4:3, 16:9 or cinema wide) and Maximum File Size: 2GB.  All Promotional Films must be in English or with Clear and Visible English Subtitles.  No Student Films allowed for this competition. Filmmakers can Not use School or University Resources and/or Equipment for this challenge! Contestant agrees no resources and/or equipment will be used in making the short film for this challenge.

PRODUCTION - Contestant is solely responsible for all costs associated with the production of the Promotional Film entry. The Promotional Film must be the original work of the Contestant and Participants and must not infringe third-party"s rights, and may not contain any copyrighted elements, other than the allowed required element as owned by OVHcloud.  All elements of Promotional Film creation must be done within the 48 Hour period only, including but not limited to: writing, rehearsing, costume/set design, shooting, sound work, and editing. The only work that may begin prior to the launch is organizing cast and crew, securing equipment, and scouting/securing locations.  All footage must be shot within the 48 hour period (no stock footage or footage created at any other time is permitted).  Animation and special effects are permitted, but must be created during the 48 hour period. If the Organizer or ASCIFFF feel the Contestant and/or Participants has cheated by “padding” your Promotional Film with work they have prepared in advance, both the Contestant and its Participants will be disqualified. It is at the ASCIFFF judge’s discretion as to what is "padded."  Only original music, creative commons music, or music with documented granted permission can be used.  

The Contestant must secure, clear and show proof of all the rights and proper licenses for the Promotional Film, in perpetuity, worldwide.  In submitting your Promotional Film to the Film Challenge, the Contestant hereby affirms that they will secure and hold all licensing and copyright permission and all rights to images and all the materials used in their Promotional Film (including any sounds, sound effects or music).  

Contestant hereby affirms that they will secure talent and location releases.  Contestant hereby understands that they are responsible for all Participants, crew, cast, equipment, sets, locations, and other items necessary for participating in the Film Challenge, and all costs, insurances, expenses, damages and claims related thereto.  The Contestant hereby affirms that they will secure agreements from all Participants, cast and crew and hereby indemnifies, saves and holds harmless the Organizer, the ASCIFFF and all of its sponsors and partners from any and all claims, costs, damages, expenses and liabilities arising from the creation, use or participation hereunder (including, but not limited to claims for negligence and other torts, unauthorized exhibition, discrimination, fraud, infringement and breach of contract) of Contestant’s Promotional Film.  Only Promotional Films that abide by all these rules and meet the Film Challenge criteria will be eligible for the final screening and to compete.  Any breach of copyright or this agreement will mean your Promotional Film cannot be accepted for the competition.

AGE REQUIREMENTS - Contestants must be over the legal age of 18 years or the legal age of majority in your state of residence, at the time they register for this competition and agree to the terms and conditions.  If Participants and other members of your cast, crew, staff, team or volunteers are under the age of 18, Contestant is required to obtain permission in advance from their parent or legal guardian and be able to demonstrate that to the Organizer’s satisfaction.

PARTICIPATION - The Film Challenge is an international challenge and is open to filmmakers around the world.   Employees, staff, volunteers, contractors, promoters and individuals connected with ASCIFFF, Organizer, our sponsors, partners or any company involved in the Film Challenge; and members of the immediate family of the above mentioned people will not be eligible to participate.  

FILM ENTRIES - Promotional Film must be suitable for publication (i.e., may not be obscene or indecent); must not contain obscene or pornographic material; may not contain defamatory or racist statements about any person, company or organization or entity affiliated with the Film Challenge, ASCIFFF or its parent company, the Organizer; may not invade privacy or other rights of any person, company or entity; may not in any other way violate applicable laws and regulations.  Promotional Film containing prohibited or inappropriate content as determined by the ASCIFFF, Organizer or OVHcloud in its sole discretion, to be inappropriate will be disqualified.   The Contestant agrees that there is no obligation on the part of the ASCIFFF or the Organizer et al. to assign a winner or to screen Contestant’s Promotional Film if it is not suitable for screening. These and all the rules are at the sole discretion of the Organizer and the ASCIFFF et al.  

UPLOADING FILM - Proof of submission or of posting of a form will not constitute proof of delivery and no responsibility will be accepted for lost, corrupted, delayed or mislaid Promotional Film entries.  After Contestant goes to the ASCIFFF website, and clicks on the link to upload the Promotional Film, they will be taken to OVHcloud cloud storage platform where they will upload the Promotional Film.  The Contestant is only allowed to upload the Promotional Film and supporting documentation: BTS (behind the scenes) still images documenting the day and time of your shoot for proof and a Group shot of your team in jpeg file formats.

WINNERS - Winners of each City, National, and International level will receive an award plaque and move to the semi-finals and shall be eligible for the award of "Best 48 Hour SciTech Film of the Year."  All ties will be broken based on the highest score in the first judging criteria, continuing thereafter to each judging criteria in order, as needed to break the tie. The Contestant agrees that the organizers of the Film Challenge and the Organizer have the sole right to decide all matters and disputes arising from the Film Challenge and that all decisions of the Film Challenge are final and binding.

AWARDS/ PRIZES - All US recipients of cash awards will be required to submit an IRS W-9 form. Winners outside the United States must provide a W-8BEN, a US Bank Account, or provide a written and signed statement, assigning a family member or representative in the US who will accept the trophy and prize money on their behalf.   The Organizer is required to report all expenses and prize money to the IRS. Winners are required to report cash prizes whether they are earned within or outside the United States.  There will be no other alternative to the prize offered.  

THE JURY
Selected judges shall be those persons detailed within the ASCIFFF and the Film Challenge website pages.  The decision of the judges over every instance shall be final and unchallengeable.  No correspondence will be entered into or comment issued on any matters concerning the Film Challenge, and no reasons given for any decision made by the judges.


TERMS AND CONDITIONS

The Organizer, with respect to the Contestant’s involvement and registering in the Film Challenge and creation of the Promotional Film pursuant to the terms below.  By registering and participating in this Film Challenge the Contestant hereby agrees to be bound by the following terms and conditions of the Film Challenge competition as amended from time to time as needed.  It is the responsibility of the Contestant to keep themselves informed as to any updates of these rules, and they acknowledge that any failure to comply with these rules could lead to legal action against them and their disqualification from The Challenge without reasons being given or opportunity for challenge.


1. DEFINITIONS


1.1 “Contestant” means the party receiving a license to use the OVHcloud Materials under these Terms and Conditions.
1.2 “Film Challenge” means the Organizer’s 2024, 48 Hour Sci-Tech Film Challenge.
1.3 “Organizer” means the Multicultural Sci-fi Organization LLC.
1.4 “Promotional Film” means the film developed by Contestant in conjunction with the Film Challenge using the OVHcloud Materials.
1.5 “OVHcloud” means OVH US LLC dba OVHcloud, a Delaware limited liability company.
1.6 “OVHcloud Materials” means, collectively, OVHcloud’s, trademark[s], service marks and other brand marks, whether registered or unregistered and any other marketing material identifying OVHcloud products and services, received by End User in connection with these Terms and Conditions.
1.7 “Terms and Conditions” means the terms and conditions set forth in this Schedule I.


2. LICENSE


2.1 Limited License to OVHcloud Material.


a. The Contestant shall receive a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the OVHcloud Materials solely in connection with (i) creating the Promotional Film for the Film Challenge and (ii) transferring the Promotional Film to a cloud storage platform provided by OVHcloud.  The Contestant’s sublicense to use the OVHcloud Materials shall begin once the OVHcloud Materials are received and shall expire when the Film Challenge expires after 48 hours.  The Contestants are not otherwise authorized to use the OVHcloud Materials.  Any other use of the OVHcloud Materials must be approved by the ASCIFFF or The Organizer, in writing.


b. Restrictions.  Contestants may not use the OVHcloud Materials to depict OVHcloud in any manner that would tend to denigrate, defame, disparage, tarnish, present in false light or otherwise reflect negatively on OVHcloud or any of the OVHcloud’s products or services.


c. Limited License to OVHcloud storage platform. The Contestant is authorized to transfer and to store the Promotional Film on a cloud storage platform to be provided by OVHcloud.  Access to the cloud storage platform is provided only during the duration of the Film Challenge and is provided “AS IS'' without indemnification or warranty of any kind, including the implied warranties of merchantability or fitness for a particular purpose.  Contestants shall not upload any materials to OVHcloud’s cloud storage platform that infringes any third-party’s rights or copyrights.  OVHcloud may reject and/or remove any materials transferred onto the cloud platform by the Contestant and may suspend Contestant’s access to or use of the cloud platform at any time, without liability to OVHcloud.


d. Ownership of OVHcloud Materials and cloud storage platform.  The OVHcloud Materials, the OVHcloud cloud storage platform and all intellectual property rights therein, are licensed to the Contestant, not sold.  All rights in the OVHcloud Materials and OVHcloud cloud storage platform provided to the Contestant under these Terms and Conditions are expressly retained by OVHcloud and its licensors.


e. Ownership of the Promotional Film.  The Promotional Film will be considered “work made for hire” with the meaning of the United States Copyright Act, Title 17, United States Code, which vests all copyright interests in and to the Promotional Film in the Organizer.  In the event, however, that any court of competent jurisdiction finally declares that the Promotional Film is not or was not a work made for hire as agreed, the Contestant agrees to assign, convey, and transfer to the Organizer all rights, title and interest the Contestant may presently have or may have or be deemed to have in and to Promotional Film, including but not limited to, all rights of reproduction, distribution, publication, public performance, public display and preparation of derivative works.  Notwithstanding anything else in the foregoing to the contrary, the Contestant agrees that the OVHcloud Materials incorporated into the Promotional Film will continue to be owned by OVHcloud and its licensors.


f. OVHcloud’s License to Material Stored on the OVHcloud cloud storage platform.  The Organizer and Contestant grants OVHcloud and its licensors with a worldwide, irrevocable, royalty-free, nonexclusive, sublicensable right during the period during when OVHcloud stores any material transferred to OVHcloud cloud storage platform by the Contestant to use this material for OVHcloud’s business purposes.


3. CONFIDENTIALITY


3.1 General.  The Contestant acknowledges and agrees that the OVHcloud Materials and the OVHcloud cloud storage platform (collectively referred to as the “Confidential Information”) contains proprietary and sensitive information of OVHcloud.  The Contestant will protect the Confidential Information from unauthorized use and disclosure using the same means it uses to protect its own information and data of like importance, but in no event using less than a reasonable degree of care.  The Contestant may only disclose the Confidential Information to its employees and independent contractors, if any,: (a) who have a need to know in order for the Contestant to use the Confidential Information in accordance with these Terms and Conditions, and (b) who are subject to binding confidentiality obligations with the Contestant regarding limitations on use and disclosure that are at least as restrictive as those in this Section 2.


3.2 Exceptions.  The foregoing restrictions will not apply to the extent the Confidential Information (a) is properly known by the Contestant a the time of receiving the Confidential Information, without restriction, (b) has become publicly known through no wrongful act of the Contestant, (c) has been rightfully received from a third party authorized to make such communication without restriction, (d) has been independently developed by the Contestant as evidenced by written records, or (e) is required by law to be disclosed; provided that if the Contestant is required to disclose the Confidential Information pursuant to an order under law, the Contestant must, to the extent not prohibited by applicable law, give OVHcloud sufficient notice of such disclosure to allow a reasonable opportunity to object to and to take necessary legal action to prevent such disclosure.


4. TERMINATION


4.1 Termination.  Organizer may terminate the Contestant’s license to use the Confidential Information at any time upon written notice to the Contestant if the Contestant breaches any material provision hereof.


5. THIRD PARTY BENEFICIARY
OVHcloud is an intended third-party beneficiary of those provisions of these Terms and Conditions relating to the OVHcloud Materials and access to and use of the OVHcloud cloud storage platform.


6. REMEDIES


Money damages may not be a sufficient remedy for any breach or threatened breach of these Terms and Conditions and either party may, in addition to seeking any damages available pursuant to applicable law, see equitable relief, including injunction and specific performance, as a remedy for any breach or threatened breach of these Terms and Conditions, without proof of damages or requirement to post any bond.


LIMITATIONS OF LIABILITY AND RELEASE
No liability or responsibility is assumed by Organizer, ASCIFFF, OVHcloud or any other sponsors or partners involved with The Challenge, for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Promotional Film or receiving instructions:  Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Promotional Film, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Promotional Film, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Promotional Film. The Organizer or ASCIFFF are not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site or social media sites maintained by the ASCIFFF.
Organizer and the ASCIFFF are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user’s or any other person’s computer equipment resulting from participation in the Film Challenge, use of the Web Site or the download of any information from the Web Site. By participating in the Film Challenge, Contestant agrees to release, indemnify and hold the Organizer, ASCIFFF and it’s sponsors and partners, harmless from any and all claims, damages or liabilities arising from or relating to such Contestant’s participation in the Film Challenge or the Filmmakers Glue networking events.
